Terms of Service

By accessing or using Journely ("Service"), operated from Tokyo, Japan, you ("User," "you") agree to be bound by these Terms of Service ("Terms") and all applicable laws and regulations. If you disagree with any part of these Terms, you must not use our Service.

These Terms constitute a legally binding agreement made between you and Journely ("Company," "we," "us," "our") concerning your use of the Service.

To use our Service, you must:

• Be at least 20 years old (age of majority in Japan)
• Have the legal capacity to enter into binding contracts
• Not be prohibited from using the Service under applicable laws
• Not have been previously terminated or suspended from the Service
• Provide accurate and complete registration information

Special Notice: Journely provides AI-powered investment research and analysis tools. It is not a registered financial advisor, broker-dealer, or regulated financial service in any jurisdiction. All content is for informational and educational purposes only and does not constitute investment advice.

3.1 What Journely IS:

• An investment journaling platform for documenting your decisions and thesis
• A research and analysis tool providing market insights (not advice)
• A personal tracking system for USD/JPY/VND investment positions
• An AI-powered research assistant for educational learning
• A visualization tool to understand your portfolio allocation
• An educational platform for improving investment decision-making skills

3.2 What Journely IS NOT:

• NOT a registered investment advisor under any jurisdiction
• NOT a broker-dealer or securities firm
• NOT a bank or financial institution
• NOT licensed under Japan's Financial Instruments and Exchange Act
• NOT a trading platform or execution service
• NOT a financial intermediary or payment processor for investments

3.3 Critical Disclaimers - What We DO NOT Do:

• We DO NOT custody, hold, or have access to your funds or assets
• We DO NOT execute trades or connect to brokerage accounts for trading purposes
• We DO NOT provide personalized investment recommendations tailored to your situation
• We DO NOT manage portfolios or make investment decisions on your behalf
• We DO NOT act as a financial intermediary between you and any financial institution
• We DO NOT process payments for investments, securities, or financial products
• We DO NOT guarantee investment outcomes, returns, or protection from losses
• We DO NOT have fiduciary responsibilities or obligations to you

4.1 Permitted Uses:

• Use the Service for personal, non-commercial educational purposes
• Create and track simulated portfolio strategies
• Share your experience with others (with appropriate disclaimers)
• Provide feedback and suggestions for improvement

4.2 Prohibited Uses:

• Present our simulations as real investment advice
• Use the Service for actual trading decisions
• Misrepresent yourself as a financial advisor using our tools
• Reverse engineer, decompile, or disassemble the Service
• Scrape, crawl, or access the Service through automated means OTHER than the official Journely Markets API and MCP server (Section 4.3). Browser-based crawling of the consumer web app is prohibited.
• Violate any applicable laws or regulations
• Infringe on intellectual property rights
• Transmit malware, viruses, or harmful code
• Engage in any activity that disrupts the Service
• Sell, rent, or sublicense access to the Service

4.3 Programmatic Access — Journely Markets API and MCP Server

Paid users (Pro and Max plans, plus authorized internal accounts) may issue personal access tokens from the API keys settings page and access the Journely Markets API and the Model Context Protocol (MCP) server. The following terms apply IN ADDITION TO the rest of these Terms:

• Tokens are personal credentials. Each token is bound to your Journely account. Do not share, sell, rent, embed in distributed binaries, or publish a token. Treat it like a password — if a token is exposed, revoke it immediately from the settings page.
• Rate limits are enforced and binding. Each plan carries published daily and hourly call ceilings (see thepricing page). Circumventing these limits — for example, by creating multiple accounts to bypass per-user caps, or by aggregating tokens across users — is a material breach of these Terms.
• Caching is allowed for personal use. You may cache responses inside your own application or dashboard for your own use. You may NOT redistribute Journely market data in bulk, repackage it as a competing data product, or sell it to third parties.
• Public attribution requested.If you build a public-facing dashboard, newsletter, or commercial product that displays Journely data, please include "Powered by Journely Markets" with a link to journely.me. Not a strict requirement, but appreciated.
• Data is provided AS-IS. The data freshness commitments on the API documentation page are best-effort, not contractual SLAs. The market data itself originates from upstream providers; we make no representation that it is free of errors, complete, or timely. See Sections 6 and 7.
• Abuse leads to suspension. We reserve the right to suspend or revoke any token (and, in egregious cases, the underlying account) without notice if we observe abuse — including but not limited to attempts to circumvent rate limits, scrape data outside the published endpoints, probe for vulnerabilities, or use the API to harm the Service or other users.
• No automated trading on third-party platforms. The Markets API is for research, analysis, and AI-agent integration. Routing the data into automated order-execution systems is permitted only for your own personal accounts and remains entirely at your own risk — see the investment-risk language in Sections 2 and 6.

All content, features, and functionality of the Service, including but not limited to text, graphics, logos, icons, images, audio clips, digital downloads, data compilations, and software, are the exclusive property of Journely or its licensors and are protected by Japanese and international copyright, trademark, patent, trade secret, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Service for personal, non-commercial purposes only.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• MERCHANTABILITY
• FITNESS FOR A PARTICULAR PURPOSE
• NON-INFRINGEMENT
• ACCURACY, RELIABILITY, OR COMPLETENESS
• SECURITY OR ERROR-FREE OPERATION
• RESULTS FROM USE OF THE SERVICE

INVESTMENT RISK WARNING: All investments carry risk. Past performance is not indicative of future results. The simulations and data provided by our Service should not be relied upon for actual investment decisions. You may lose money in real investments.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL JOURNELY, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR:

• ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
• LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES
• ANY INVESTMENT LOSSES BASED ON USE OF OUR SERVICE
• ANY UNAUTHORIZED ACCESS TO OR USE OF OUR SERVERS
• ANY INTERRUPTION OR CESSATION OF TRANSMISSION
• ANY BUGS, VIRUSES, OR TROJAN HORSES
• ANY ERRORS OR OMISSIONS IN CONTENT

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU (IF ANY) FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

You agree to defend, indemnify, and hold harmless Journely and its affiliates, officers, directors, employees, consultants, agents, and suppliers from any and all claims, liabilities, damages, losses, costs, expenses, fees (including reasonable attorneys' fees) arising from:

• Your violation of these Terms
• Your violation of any third-party rights
• Your use or misuse of the Service
• Your investment decisions based on the Service
• Any content you submit to the Service

We may terminate or suspend your account immediately, without prior notice, for:

• Breach of these Terms
• Violation of applicable laws
• Fraudulent or illegal activity
• Extended period of inactivity (24+ months)

If we terminate your account for reasons other than those listed above, we will provide reasonable notice and a pro-rata refund of any prepaid subscription fees for the unused portion of the billing period.

You may terminate your account at any time by contacting hello@journely.me or through your account settings. Upon termination, your right to use the Service will cease at the end of your current billing period.

These Terms shall be governed by and construed in accordance with the laws of Japan, without regard to its conflict of law provisions. Any disputes arising from or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the Tokyo District Court.

We reserve the right to modify these Terms at any time. Material changes will be notified via email or prominent notice on the Service at least 30 days before becoming effective. If you do not agree with the changes, you may cancel your account before they take effect. Changes to pricing or payment terms require your active confirmation before the next billing period.

BY USING THE SERVICE, YOU ACKNOWLEDGE THAT YOU HAVE READ THESE TERMS, UNDERSTAND THEM, AND AGREE TO BE BOUND BY THEM. YOU FURTHER ACKNOWLEDGE THAT THESE TERMS REPRESENT THE COMPLETE AND EXCLUSIVE STATEMENT OF THE AGREEMENT BETWEEN US.
